A Personal Guarantee Is a Risk Allocation Document
A full guarantee may make an individual responsible for rent, additional rent, damages, enforcement costs, and performance obligations. A limited guarantee can cap liability by dollars, time, or obligation. A burn-off reduces or ends exposure after measurable milestones, such as a period of timely payment or repayment of a landlord concession.
Good-Guy Guarantees
A good-guy structure generally limits future rent exposure after required notice, payment through surrender, timely vacancy, and return of the premises in the agreed condition. It is not a general release and may leave repair, restoration, indemnity, enforcement, and pre-surrender obligations in place.
Negotiation Checklist
Define the liability cap, release date, notice and cure rights, surrender conditions, treatment of concessions, attorney fees, successor guarantors, amendments, and surviving liabilities. Replace vague references to “all obligations” with measurable conditions and a schedule.
Worth knowing: a guaranty may survive an assignment or lease amendment unless its consent and release terms say otherwise.
